1. Parties. Agreement. Governing law

1.1. This agreement is entered into by and between Limited liability company PROTOTYPSTER, registered office at: Novosibirsk, ul. Inzhenernaya, 20, hereinafter referred to as the «Service», and legal entity or inpidual (as the case may be) registered on the website at www.prototypster.ru (the «Website»), and loading onto the said Website a certain file with information about a three dimensional model that is required to reproduce the model using three dimensional copying techniques (the «Layout»). Hereinafter such inpidual or entity is referred to as the «Designer».

1.2. This text shall be deemed to be an offer to enter into an agreement with the Designer before the Designer performs the steps specified in the subject matter of this agreement, including without limitation the steps intended to load the Layout onto the Website.

1.3. This agreement is governed by the substantive law of Russia in effect as at the date of acceptance.

1.4. This instrument is deemed to have the same effect as a hard copy document and is signed by the Designer using a simple electronic signature that has the same validity and effect as the Designer's handwritten signature. The parties agree to keep their signature keys confidential.

1.5. The Designer enters into this Agreement with a view to earn, on an ongoing basis, income in the form of funds transferred to the Designer by the Service on the terms specified below.

2. Subject of the Agreement

2.1. Whenever the User performs operations permitted by the functionality of the Website to load the Layout onto the Website for it to be displayed, the Service undertakes to provide technical means to enable the loading which is understood to result in the Layout being displayed on the Website in a dedicated section.

2.2. By providing the means to display the Layout on the Website pursuant to clause 2.1 hereof, the Service performs its obligations implied by the term «information broker» as defined in article 1253.1 of the Russian Civil Code, which, for the purposes of interpretation of this agreement, does not imply any obligations to the Designer in conflict with the said article or obligations in addition to those set out in clause 2.1.

3. Licence Agreements (cross-licensing)

3.1. When performing and completing the loading of the Layout onto the Website, the Designer shall use the Website as a combination of program codes (including for the purpose of raising public awareness and creating a copy on the data carriers of the Service), for which purpose the Designer is granted user rights within the scope specified in this clause.

3.2. As necessary, the Service may use the Layout in performing this agreement, for which purpose the Designer shall grant the Service the right to use the Layout to the extent agreed hereunder.

3.3. The Service shall grant the Designer the right to use the Website as a combination of program codes with a view to bring the Layout to public attention by way of displaying it on the Website, and to load the Layout onto the Website. The said right shall be granted to the Designer at no charge for the term of the exclusive right of the Service in the Website.

3.4. The Designer shall grant the Service the right to use the Layout by way of bringing it to public attention and by way or reproducing copies of the Layout (in an unlimited number for the purposes of performance hereof) for the duration of the exclusive right in the Layout, on a free of charge basis, with the right to sublicense.

3.5. Notwithstanding any other provisions hereof, the Designer, as the owner of the Layout, expressly agrees to the Layout being used in the ways specified in clause 3.4., including by the Service's contractors.

4. Obligation to provide information

4.1. The Designer is required to provide reliable personal information, including the name and contact details, as well as information required under clause 4.3. If the Designer fails to provide reliable personal information at the time of registration, the Designer should provide it by way of amending the initial registration details.

4.2. The Designer expressly agrees to the transfer of the Designer's personal information to third parties in execution of the Service's obligations hereunder, including for the purpose of exercising the Service's authority to handle third party claims as set out in clause 6 hereof.

4.3. For the purposes hereof, by entering into this agreement the Designer reconfirms the information set out in clause 5.

4.4. The Service shall notify the Designer of any third party claims over infringement of their exclusive rights and provide such third parties with the contact details of the Designer upon their request.

5. Warranties

5.1. The Designer warrants to the Service that at the time of execution of this agreement the Designer holds exclusive rights in the Layout.

5.2. The Designer warrants that he/it is unaware of circumstances that could give rise to any claims against the Service over infringement of intellectual rights, including claims on the part of the Designer and third party claims.

5.3. The Designer warrants to the Service that he/it is unaware of any circumstances, including the Designer's own legal status or capacity, or of any legal barriers to the execution or validity of this agreement.

5.4. The Designer warrants to the Service that he/it is unaware of any circumstances that may cause the Designer to benefit from the execution of this agreement by using illegal and/or improper means.

6. Agency relations

6.1. As instructed by the Designer, the Service shall contract with third parties in the name and at the expense of the Designer to dispose of or manufacture and dispose of three dimensional models the information on which is contained in the Layout. As instructed by the Designer, the Service shall take appropriate actions to implement the deals reached.

6.2. The Service will charge a fee for its services specified in clause 6.1 based on the total amount of transactions concluded less any amounts due to the Designer under clause 6.3.

6.3. The Service shall transfer to the Designer 15% of the cost of manufacturing the three dimensional model the information on which is contained in the Layout, on each transaction entered into between the Service and a third party pursuant to clause 6.2, such cost being set by the Service when entering into the transaction.

6.4. The Service has the authority to contract with third parties on behalf of the Designer to dispose of or manufacture and dispose of three dimensional models the information on which is contained in the Layout. The Service has full discretion to set the terms of such transactions.

6.5. The Service has the authority to accept third party claims over infringement of their exclusive rights through the use by the Designer of the Layout displayed on the Website

6.6. The Designer legally owns the copies of three dimensional models the information on which is contained in the respective Layouts and any models manufactured or acquired by the Service in performance of its obligations, including for the purpose of delivering them to Users.

6.7. The Service shall make payments to the Designer as set out in clause 6.3 on the 6th day of each month in which the amount due by that date equals or exceeds RUR1,000. If that date falls on a weekend or holiday, then the amount due, provided it meets said threshold, shall be taken to the next business day.

6.8. If applicable, the Designer shall sign and return to the Service the signed originals of accounting forms sent to him/it by the Service and required for tax and/or financial accounting purposes, such as agent reports or agent commission statements. These forms are to be signed by the Designer and set to the Service within 10 days of the date of receipt

7. Intellectual property rights

7.1. If a claim is brought against the Service over infringement of exclusive rights through the placement by the Designer of the Layout on the Website, the Service may suspend the provision of services under this agreement to the extent they relate to the placement of the Layout, the granting or right to use the Website as a combination of program codes and the conclusion of transactions on behalf of the Designer to dispose of or manufacture and dispose of copies of the Layout, or take other actions that are necessary and sufficient to stop the alleged infringement of intellectual property rights.

7.2. If the placement by the Designer of the Layout on the Website resulted in an infringement of third parties' exclusive rights or if the Designer was in breach of clause 4.1 hereof, for which the Service was held liable, the Designer shall reimburse the Website for all resulting losses. The Service may withdraw this Offer any time at its sole discretion.
